HP, Inc. – Electronic, Digital and Device Credentials for HP Collaboration Partners and Managed Service Provider Terms of Service

The following Terms of Service are a legal agreement between you and HP, Inc. (“HP”), and govern your use of https://pro.msp.hp.com (the “HP IAM MSP Credentialing Site”). These Terms of Service include the HP, Inc Privacy Policy, Intellectual Property(“IP”) Policy and all other policies referenced below or elsewhere on the HP IAM MSP (Managed Service Provider) Credentialing Site. You understand that by using the HP IAM MSP Credentialing Site, you are agreeing to these Terms of Service. If you do not accept these Terms of Service, you may not access or use the HP IAM MSP Credentialing Site for purposes of obtaining identity credentials that will grant you access to HP Systems, Assets and Networks for a defined period in order to conduct business on behalf of HP, Inc. or its subsidiaries. If you are using the HP IAM MSP Credentialing system as an individual, sole proprietor, freelancer or business entity, your agreement to these Terms of Service will be treated as the agreement of the business, and all references to “you” and “your” will apply to that business.

In these Terms of Service, the HP IAM MSP (Managed Service Provider) Credentialing and Entitlements platform, authentication, single sign-on, hardware tokens, software tokens, HP email accounts, applications, third-party SAAS, tools and services, and all related content, software and documentation, are collectively referred to as the “Services.”

Important Note: The Services are deployed on many websites which are not owned or controlled by HP, Inc. When you visit any third-party website, which has enabled the SAML, Federation, IdP, MFA Services, your use of the Services is governed by that website’s posted use terms. These Terms of Service apply only to your use of the HP IAM MSP Credentialing Site.

HP IAM Credentialing Website, FAQ Access.

You do not need a HP IAM Credentialing account to visit the HP IAM MSP Credentialing Site. However, before you can enroll for credentials, submit support tickets or access an entitled HP resource, you must create a HP IAM Credentialing account and agree to the HP IAM This Credentialing Member Agreement, which will govern your use of the HP IAM Services on the credentialing website.

HP Collaboration Partner (“Partners), Managed Service Provider (“MSP”), Persons Contracted or Employed by HP Provider hereby represents and warrants that it is fully authorized to enter into this Agreement. By applying for a Credential, Enrollee warrants that all information and representations made to obtain a Credential are true, including but not limited to information and representations included in the Credential. HP Collaboration Partner (“Partners), Managed Service Provider (“MSP”), Persons Contracted or Employed by HP Provider understands that an HP issued physical, virtual or digital Credential serves to identify the party named in the Credential (the “Credential Subject”) or SAML Subject ID (the ‘Credential Subject) for the purposes of secure system access, electronic commerce, access, and communication.

HP Collaboration Partner (“Partners), Managed Service Provider (“MSP”), Persons Contracted or Employed by HP Provider 's responsibilities under this Agreement:

(a) HP Collaboration Partner (“Partners), Managed Service Provider (“MSP”), Persons Contracted or Employed by HP Provider agrees to adhere to all HP Security, System, Data Access, Breach and Password Requirements, MFA Requirements for the Credentials system found in the Agreement(s) or enrollment form(s) between HP Collaboration Partner (“Partners), Managed Service Provider (“MSP”), Persons Contracted or Employed by HP Provider  and HP, Inc. If the Agreement(s) or enrollment form(s) are Web-based, HP Collaboration Partner (“Partners), Managed Service Provider (“MSP”), Persons Contracted or Employed by HP Provider agrees it will be bound by the Electronic Content, terms, and conditions as displayed on the  Web site at the time HP Collaboration Partner (“Partners), Managed Service Provider (“MSP”), Persons Contracted or Employed by HP Provider enrolls in the particular Service.

(b) HP Collaboration Partner (“Partners), Managed Service Provider (“MSP”), Persons Contracted or Employed by HP Provider agree to adhere to and be bound by the provisions of the HP IAM Credentials for Collaboration Partners and Managed Service Providers Statement ("MSPC"), which is incorporated by reference into this Agreement.

HP Collaboration Partner (“Partners), Managed Service Provider (“MSP”), Persons Contracted or Employed by HP Provider acknowledges that this agreement may change from time to time, and any changes will be effective and binding from the date they are posted on HP IAM Credentialing Web site. The HP IAM MSP Credentialing for HP Managed Service Providers. TOS agreement is available for viewing at HP IAM Credentialing Web site, https://oneuid.msp.hp.com/faq/tos.

(c) In addition to complying with the terms of the TOS, HP Collaboration Partner (“Partners), Managed Service Provider (“MSP”), Persons Contracted or Employed by HP Provider shall comply with each of the following obligations:

Applicable to Credentials issued for System, Resource or Application

  • Provide information on the Credential application that is complete and accurate which includes providing valid name, phone numbers and corporate email addresses; Free email addresses are not allowed.
  • Use the HP provided Credentials only for the purposes of identification of the HP Collaboration Partner (“Partners), Managed Service Provider (“MSP”), Persons Contracted or Employed by HP Provider as the party accessing HP systems, resources and applications for purposes of supporting, managing HP internal resources;
  • Protect the confidentiality of the credentials from unauthorized use, access or disclosure, sale and require the same of 3rd party providers who support the provision of services to HP under this Agreement;
  • Use the Credentials only in conjunction with properly licensed cryptographic software;
  • Promptly revoke a Credential upon any change to the information on the Credential or the Credential application;
  • Do not share or seek to alter Credentials or System Entitlements given by HP through the MSP Credentialing system to the Provider.

Applicable to the use of HP RA (Registration Authority), HP 3rd Party CA (Certificate Authority) to issue SSL certificates that secure and encrypt content and communication relevant to HP business interests:

  •  Protect the confidentiality of the private keys attached to HP resources from unauthorized use, access or disclosure, and require the same of all Credential Subjects;
  • Unless otherwise provided, exclusively use the HP registration authority ("RA") functions necessary for issuance of the Credentials provided by the Service, and be solely responsible for verifying the identity of the Credential Subject named in the Credentials issued by the Service at HP Collaboration Partner (“Partners), Managed Service Provider (“MSP”), Persons Contracted or Employed by HP Provider ’s request;
  • Appoint an administrator (the "Administrator") with authority to perform the RA Functions and to order, manage, and revoke the Credentials provided under the Service on behalf of HP Collaboration Partner (“Partners), Managed Service Provider (“MSP”), Persons Contracted or Employed by HP Provider;
  • Promptly revoke a Credential upon any actual or suspected loss, disclosure, or other compromise of the private key that corresponds to the Credential;
  • Promptly request that HP revoke an Administrator’s Credential upon any change to the information on the Administrator’s Publisher Credential or on the Administrator’s Credential application; and
  • Promptly request that HP revoke an Administrator’s Credential upon any actual or suspected loss, disclosure, or other compromise of the private key that corresponds to the Administrator’s Publisher Credential.

Any failure of HP Collaboration Partner (“Partners), Managed Service Provider (“MSP”), Persons Contracted or Employed by HP Provider to comply with each of the obligations under this subsection shall be a material breach of the Agreement. HP Collaboration Partner (“Partners), Managed Service Provider (“MSP”), Persons Contracted or Employed by HP Provider acknowledges the inherent possibility of the compromise of a Credential Subject's private key, which may or may not be detected, and the possible use of a stolen or compromised private key to forge a Credential Subject's digital signature and/or to gain unauthorized Web or VPN access.

(d) HP Collaboration Partner (“Partners), Managed Service Provider (“MSP”), Persons Contracted or Employed by HP Provider acknowledges that the functions and features of the Service may be modified from time to time, that some functions and features may be added, changed, or deleted from the Service during the term of this Agreement, and that all changes will be deemed to be part of the Service provided by HP as of the date of change.

  1.  Description of the Service(s): Individual Identity Credentialing, Authentication and Entitlements for HP Service Providers and Collaboration Partners, the Service currently provides (or will provide during the term of this Agreement) a Web-based service for issuance, management, and revocation of Credentials to individuals designated by HP Collaboration Partner (“Partners), Managed Service Provider (“MSP”), Persons Contracted or Employed by HP Provider to enable authentication and access to entitled applications according to specifications provided by HP for each Service feature.
  2. Description of the Service(s): SSL Certificate issuance for Public Servers, Web Services, B2B Communication and API Authentication for HP Service Providers and Collaboration Partners, the Service currently provides (or will provide during the term of this Agreement) a Web-based service for issuance, management, and revocation of Certificates to individuals designated by HP Collaboration Partner (“Partners), Managed Service Provider (“MSP”), Persons Contracted or Employed by HP Provider to enable authentication and secure, encrypted communication according to specifications provided by HP for each Service feature. 
  3. Enrollment for the Service: In order to obtain the Service, HP Collaboration Partner (“Partners), Managed Service Provider (“MSP”), Persons Contracted or Employed by HP Provider agrees to complete HP's enrollment form, including HP Collaboration Partner (“Partners), Managed Service Provider (“MSP”), Persons Contracted or Employed by HP Provider contact information and such other information as the enrollment form may request, and to provide all necessary information to HP for issuance of Credentials. HP Collaboration Partner (“Partners), Managed Service Provider (“MSP”), Persons Contracted or Employed by HP Provider warrants (1) the information it provides will be complete and accurate, (2) HP Collaboration Partner (“Partners), Managed Service Provider (“MSP”), Persons Contracted or Employed by HP Provider has authority to provide the information and is not violating any privacy or confidentiality rules, regulations, or other agreements, and (3) that HP has permission to use this information in order to provide the Service (including publication of information contained in a Credential in connection with HP's dissemination of Credential status information).

HP Collaboration Partner (“Partners), Managed Service Provider (“MSP”), Persons Contracted or Employed by HP Provider will communicate sensitive data between itself, HP or other 3rd part secure encrypted channels of communications with Credentials provided by HP.

HP Collaboration Partner (“Partners), Managed Service Provider (“MSP”), Persons Contracted or Employed by HP Provider agrees to keep its Credential secure and accessible only by HP Collaboration Partner (“Partners), Managed Service Provider (“MSP”), Persons Contracted or Employed by HP Provider ’s Administrator, and HP will not be liable in the event of any compromise of HP Collaboration Partner (“Partners), Managed Service Provider (“MSP”), Persons Contracted or Employed by HP Provider 's Credentials

  1. Business or Commercial Use: HP Collaboration Partner (“Partners), Managed Service Provider (“MSP”), Persons Contracted or Employed by HP Provider warrants that it will use the Service solely for business or commercial use only, and not for any personal or consumer use. HP Collaboration Partner (“Partners), Managed Service Provider (“MSP”), Persons Contracted or Employed by HP Provider agrees it will only use the Servicefor HP Collaboration Partner (“Partners), Managed Service Provider (“MSP”), Persons Contracted or Employed by HP Provider ’s own business purposes and will not resell or assign Service Credentials, Certificates or other HP owned materials to others without express permission of HP, Inc.
  2. Term and Termination: The term of this Agreement shall begin on the date the enrollment form is submitted to and accepted by HP and shall terminate upon the earlier of (a) end of the one (1) year enrollment period, (b) thirty (30) days after notice from HP to HP Collaboration Partner (“Partners), Managed Service Provider (“MSP”), Persons Contracted or Employed by HP Provider regarding a breach by HP Collaboration Partner (“Partners), Managed Service Provider (“MSP”), Persons Contracted or Employed by HP Provider of its obligations under this Agreement which remains uncured for such period of time, or (c) receipt of notice by HP from HP Collaboration Partner (“Partners), Managed Service Provider (“MSP”), Persons Contracted or Employed by HP Provider  of its intent to terminate this Agreement.

HP shall not be obliged to retain any information provided by HP Collaboration Partner (“Partners), Managed Service Provider (“MSP”), Persons Contracted or Employed by HP Provider after termination.

  1. Service Interruptions; System Damage: HP Collaboration Partner (“Partners), Managed Service Provider (“MSP”), Persons Contracted or Employed by HP Provider agrees that HP shall not be liable for failure or delay in performing its obligations hereunder if such failure or delay is due to circumstances beyond its reasonable control, including, without limitation, acts of any governmental body, war, insurrection, sabotage, embargo, fire, flood, strike or other labor disturbance, interruption of or delay in transportation, unavailability of interruption or delay in telecommunications or third-party services, failure of third party software or inability to obtain raw materials, supplies, or power used in or equipment needed for provision of the Service. HP Collaboration Partner (“Partners), Managed Service provider (“MSP”), Persons Contracted or Employed by HP Provider understands and agrees that occasional temporary interruptions of the Service may occur as normal events in the provision of the Service via the Internet. HP Collaboration Partner (“Partners), Managed Service Provider (“MSP”), Persons Contracted or Employed by HP Provider agrees that HP shall not be liable for any computer virus or security breach, including computer hacking or denial of service attack, that results in damage, destruction, alteration, or corruption of data on systems. HP agrees to exercise reasonable care to prevent such occurrences; however, under no circumstances will HP be held liable for any financial or other damages due to such interruptions. In no event shall HP be liable to HP Collaboration Partner (“Partners), Managed Service Provider (“MSP”), Persons Contracted or Employed by HP Provider or any other person for any special, incidental, consequential or punitive damages of any kind, including, without limitation, refunds of fees, loss of profits, loss of income or cost of replacement services.
  2. Governing Law and Dispute Resolution Procedures: The enforceability, construction, interpretation, and validity of this Agreement and any resolution of any dispute concerning the Service shall be governed by the substantive laws of the state of California, United States of America, excluding (i) the conflicts of law provisions thereof and (ii) the United Nations Convention on Contracts for the International Sale of Goods. Any dispute, controversy or claim arising under, in connection with or relating to this Agreement or the Service shall be subject to and settled finally by binding arbitration in accordance with the Arbitration Rules of the American Arbitration Association (AAA). All arbitration proceedings shall be held in Palo Alto, California, USA. There shall be one arbitrator appointed by the AAA who shall exhibit a reasonable familiarity with the issues involved or presented in such dispute, controversy or claim. The award of the arbitrator shall be binding and final upon all parties, and judgment on the award may be entered by any court having proper jurisdiction thereof. In any arbitration arising hereunder, each party to the preceding shall be responsible for its own costs incurred in connection with the arbitration proceedings.
  3. Independent Contractor: The relationship of HP and HP Collaboration Partner (“Partners), Managed Service Provider (“MSP”), Persons Contracted or Employed by HP Provider under this Agreement is that of independent contractors and not partners, joint ventures, or co-owners as participants. Neither party has authority to contract for or bind the other.
  4. Notices: Any notices between the parties shall be in physical or electronic writing. The parties shall send all notices by e-mail or first-class mail, postage prepaid. Notices shall be effective upon receipt. HP shall send notices to HP Collaboration Partner (“Partners), Managed Service Provider (“MSP”), Persons Contracted or Employed by HP Provider at the e-mail and/or physical address provided in the Subscriber form. HP Collaboration Partner (“Partners), Managed Service Provider (“MSP”), Persons Contracted or Employed by HP Provider shall send notices in writing to the following address:

  1. Assignment: HP Collaboration Partner (“Partners), Managed Service Provider (“MSP”), Persons Contracted or Employed by HP Provider may not assign this Agreement, in whole or in part, either voluntarily or by operation of law, and any attempt to do so shall be void and a default of this Agreement.
  2. No Other Rights: By virtue of this Agreement, HP Collaboration Partner (“Partners), Managed Service Provider (“MSP”), Persons Contracted or Employed by HP Provider does not acquire any right, title or interest of any kind in or to any trademark, trade name, service mark, logo, patent, copyright, or other proprietary right of HP, Inc.
  3. Compliance with Laws and Regulations: HP Collaboration Partner (“Partners), Managed Service Provider (“MSP”), Persons Contracted or Employed by HP Provider acknowledges and agrees to use the Service in compliance with all applicable laws and regulations, including without limitation U.S. export laws and regulations. HP may refuse to provide the Service if in the reasonable opinion of HP such issuance or the continued use of the Service would violate applicable laws and regulations.
  4. Limitation of Liability: HP's liability (including, for purposes of this paragraph only, any of it employees, agents, or representatives), to HP Collaboration Partner (“Partners), Managed Service Provider (“MSP”), Persons Contracted or Employed by HP Provider (either directly or as a third party defendant in any action or proceeding) for any claim arising out of or relating to this Agreement or the provision of the Service (including, without limitation maintenance and support) to a Credentialed Subject:
  5. In no event shall HP be liable for any loss of data, loss of profits, cost of cover, or any other special, incidental, consequential, indirect or punitive damages, however caused and regardless of theory of liability. This limitation will apply even if HP has been advised of, or is aware of, the possibility of such damages. Because some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, the above exclusions of incidental and consequential damages may not apply to HP Collaboration Partner (“Partners), Managed Service Provider (“MSP”), Persons Contracted or Employed by HP Provider but shall be given effect to the full extent permitted by law.
  6. Disclaimer of Warranties: HP SPECIFICALLY DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, NONFRINGEMENT, AND FITNESS FOR A PARTICULAR PURPOSE. EXCEPT AS OTHERWISE PROVIDED IN THIS AGREEMENT, ANY WRITTEN MATERIALS BY HP, OR INFORMATION ON HP'S WEB SITE, SHALL BE FOR INFORMATIONAL PURPOSES ONLY AND, WHETHER DELIVERED OR DISSEMINATED BEFORE OR AFTER THE DATE OF THIS AGREEMENT, SHALL NOT CREATE ANY EXPRESS OR IMPLIED WARRANTIES, GUARANTY OF PERFORMANCE, OR CONTRACTUAL OBLIGATIONS.
  7.  Indemnification: HP Collaboration Partner (“Partners), Managed Service Provider (“MSP”), Persons Contracted or Employed by HP Provider hereby agrees to indemnify and hold HP and its officers, directors, employees, agents, successors and assigns harmless from and against any and all claims, losses, damages, judgments, costs and expenses (including attorneys' fees) arising out of or related to HP Collaboration Partner (“Partners), Managed Service Provider (“MSP”), Persons Contracted or Employed by HP Provider 's or a Credentialed Subject’s use of the Service where such use constitutes gross negligence or willful misuse.
  8. Entire Agreement: This Agreement constitutes the complete and exclusive statement of the agreement between HP Collaboration Partner (“Partners), Managed Service Provider (“MSP”), Persons Contracted or Employed by HP Provider and HP with respect to the application for, acceptance of, and use of the Service and supersedes any proposal or prior agreement, oral or written, and any other communications relating to this Agreement.
